1. INTRODUCTION
Welcome to Bluescape Real Estate L.L.C. we, a licensed real estate brokerage company registered in the United Arab Emirates under registration number 1448441 and regulated by the Dep. of Economic Development. These Terms and Conditions govern your access to and use of our website, mobile applications, and services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. DEFINITIONS
In these Terms, the following terms shall have the meanings assigned to them below:
a) “Client” refers to any individual or entity that engages our brokerage services.
b) “Content” means all information, data, text, software, music, sound, photographs, graphics, videos, messages, or other materials.
c) “Listing” refers to real estate property information made available through our Services.
d) “User”, “you”, or “your” refers to any individual or entity that accesses or uses our Services.
e) “UAE” refers to the United Arab Emirates.
3. ELIGIBILITY
You must be at least 21 years old to use our Services as per UAE law. By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement with us and are not prohibited from using the Services under applicable UAE laws.
4. ACCOUNT REGISTRATION
4.1. To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4.2. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.3. We reserve the right to disable your account at any time, including if you have failed to comply with any provision of these Terms or applicable UAE laws.
4.4. You may be required to provide a copy of your Emirates ID, passport, or other identification documents as required by UAE regulations for real estate transactions.
5. BROKERAGE SERVICES
5.1. **Description of Services**
We provide real estate brokerage services in accordance with the real estate laws and regulations of the UAE, which may include property listings, buyer representation, seller representation, property management, and real estate consulting services.
5.2. **Agency Relationships**
Our brokerage services establish various agency relationships with clients. The specific nature of the agency relationship will be defined in a separate written agreement between you and our Company, in compliance with the regulations set forth by the relevant real estate regulatory authority in the UAE.
5.3. **Listings and Property Information**
a) We strive to provide accurate listing information, but we do not warrant that Listings or other Content provided through our Services is accurate, complete, reliable, current, or error-free.
b) All square footage, dimensions, or other measurements are approximate and should be independently verified.
c) Listing information may be provided by third parties. We are not responsible for any inaccuracies in such information.
d) Property prices are subject to change without prior notice and are subject to availability.
5.4. **Representations and Warranties**
We make no representations or warranties about the suitability, reliability, availability, timeliness, security, or accuracy of the Services. The Services are provided “as is” without warranty of any kind.
6. FEES AND COMMISSIONS
6.1. Our fees and commission structure will be outlined in a separate written agreement between you and our Company, in accordance with the rates approved by the relevant real estate regulatory authority in the UAE.
6.2. You agree to pay all fees and commissions as specified in such agreement. All fees and commissions are non-refundable unless otherwise specified in the agreement or required by UAE law.
6.3. Value Added Tax (VAT) at the prevailing rate will be applied to our services as required by Federal Tax Authority regulations.
7. USER CONDUCT
7.1. You agree not to:
a) Violate any applicable UAE law, regulation, or these Terms.
b) Use the Services in any manner that could disable, overburden, damage, or impair our Services.
c) Use any robot, spider, crawler, scraper, or other automated means to access our Services.
d) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Services.
e) Use our Services to transmit any material that is defamatory, obscene, or otherwise objectionable under UAE law.
f) Engage in any activity that would constitute a violation of UAE Federal Law No. 5 of 2012 on Combating Cybercrimes or other applicable UAE laws.
8. INTELLECTUAL PROPERTY RIGHTS
8.1. The Services and its Contents are protected by copyright, trademark, and other laws of the UAE and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
8.2. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as incidental to normal web browsing or as expressly permitted in these Terms.
9. USER CONTENT
9.1. Our Services may allow you to post, link, store, share, and otherwise make available certain Content. You retain any rights you may have in such Content.
9.2. By posting Content, you grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, modify, and distribute your Content in connection with the operation of our Services.
9.3. You represent and warrant that you own or control all rights in and to the Content you post, and that such Content does not violate these Terms or any applicable UAE law.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless our Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.
11. LIMITATION OF LIABILITY
11.1. In no event will we, our affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use or inability to use the Services, including any direct, indirect, special, incidental, consequential, or punitive damages.
11.2. The foregoing does not affect any liability which cannot be excluded or limited under applicable UAE law.
12. TERM AND TERMINATION
12.1. These Terms shall remain in full force and effect while you use the Services.
12.2. We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
12.3. Upon termination, your right to use the Services will immediately cease.
13. DISPUTE RESOLUTION

If you have any concerns or disputes about our Services, you agree to first try to resolve the dispute informally by contacting us.
13.2. **Formal Resolution**
